1. Definitions
- "FerrTrack": the issue tracking and project management service edited by Bryan Ferrando — Entrepreneur individuel (FerrLabs), SIREN 104 243 951, accessible at ferrtrack.com.
- "Customer": any natural person of legal age or legal entity having subscribed to a FerrTrack Subscription.
- "Customer Content": any text, image, attachment, code reference or data published by the Customer through the Service (issues, comments, attachments, GitHub integration data).
- "Subscription": the pricing plan (Free, Pro, Team or Enterprise) subscribed to by the Customer.
2. Acceptance
Use of the Service implies unreserved acceptance of these terms. The Customer acknowledges having read and accepted them prior to any subscription.
3. Service description
FerrTrack provides:
- An issue tracker with projects, statuses, priorities, labels and assignees
- An append-only activity log per issue
- An optional GitHub integration to auto-link Pull Requests and commits to issues
- An export API for issues, comments and metadata
4. Pricing and subscription
Current pricing is published at ferrtrack.com/pricing. The Service is offered in four tiers:
- Free: 10 users, unlimited projects
- Pro / Team / Enterprise: increasing user counts, advanced workflows, SSO (Enterprise) and audit features
Each new paid Subscription includes a 14-day trial period at the start of the contract, in line with the FerrLabs per-product trial policy.
5. Payment
Payments are made through Stripe Inc. (United States, Data Privacy Framework certified), by credit card or SEPA direct debit. The Customer expressly authorizes monthly automatic debit. Each invoice is issued on the subscription anniversary date.
6. Term, renewal and termination
The Subscription is concluded without commitment, and is tacitly renewed each month on the anniversary date. The Customer can terminate at any time from their account area (termination takes effect at the end of the current billing period). No pro-rata refund.
In accordance with the French law of 16 August 2022, termination is accessible by means at least as simple as subscription.
7. Right of withdrawal (consumers only)
In accordance with article L.221-18 of the French Consumer Code, a Customer who is a consumer has a 14-day period to exercise their right of withdrawal. The Customer expressly waives this right by requesting immediate execution of the Service upon subscription. This waiver is materialized by the checkbox at payment time.
8. Customer obligations
The Customer warrants that the use of the Service:
- Complies with French law and applicable European regulations
- Does not use the Service to host spam, phishing, fraud or malware
- Does not attempt to disrupt or compromise the infrastructure
- Respects the rights of project members and integration scopes
9. Customer Content and responsibility
The Customer publishes on FerrTrack content (issues, comments, attachments, GitHub integration data) for which they are solely responsible. The Customer warrants that:
- Published content does not infringe any third-party intellectual property right
- The content is not defamatory, discriminatory, or unlawful under French law
- Personal data included in issues (in particular through attachments) relies on a valid GDPR legal basis
- GitHub tokens provided for the webhook integration are authorized by their owner
FerrTrack acts as a processor within the meaning of article 28 GDPR for data processed through the Service. The Customer is the data controller. A Data Processing Agreement (DPA) is available on request.
10. GitHub integration
The optional GitHub integration operates through GitHub's official webhook mechanism. The Customer remains free to disable it at any time. Webhook payloads are retained for a maximum of 12 months to enable PR/issue link traceability.
11. Suspension and termination for cause
FerrTrack may suspend or terminate the Subscription, without notice or refund, in case of:
- Manifestly illegal use notified and not remediated
- Payment default of more than 15 days
- Serious breach of these terms
- Attempted attack on the infrastructure (abuse, spam, fraud)
12. Data retention and export
On termination, FerrTrack provides a 30-day window during which the Customer can export every project as JSON (issues, comments, attachments metadata, activity log) via the API or admin UI. After the window, Customer Content is hard-deleted. Backups are purged within 30 additional days.
13. Personal data
The Customer's data is processed in accordance with the privacy policy published at ferrtrack.com/privacy. FerrLabs is the data controller for Customer account data. The Customer is the data controller for personal data included in Customer Content; FerrLabs is the processor within the meaning of GDPR art. 28.
14. Intellectual property
- The FerrTrack source code, the "FerrLabs" and "FerrTrack" trademarks, and all associated graphical elements remain the exclusive property of Bryan Ferrando — Entrepreneur individuel.
- Customer Content remains the property of the Customer. The Customer grants FerrTrack a non-exclusive, worldwide, royalty-free license to host, store, index and technically adapt this content for the purposes of the Service.
15. Limitation of liability
FerrTrack is bound by an obligation of means. FerrTrack's liability is limited to direct foreseeable damages and shall not exceed, in any event, the amounts paid by the Customer over the past 12 months. FerrTrack is not liable for indirect damages (loss of revenue, loss of data not exported by the Customer prior to termination, reputational harm).
FerrTrack is not liable in case of force majeure (infrastructure subcontractor outage, DDoS attack, network unavailability).
16. Modification of terms
FerrTrack reserves the right to modify these terms. Any modification is notified to the Customer by email at least 30 days before its entry into force. Failing express opposition by termination within this period, the new terms are deemed accepted.
17. Applicable law and jurisdiction
These terms are governed by French law. For any dispute with a professional Customer, exclusive jurisdiction of the courts of Lille.
For any dispute with a consumer Customer, in accordance with article L.612-1 of the French Consumer Code, the Customer may have free recourse to a consumer mediator. Designated mediator: [À COMPLÉTER — ex : CMAP, Médicys].
18. Final provisions
The possible nullity of a stipulation does not entail the nullity of the whole. FerrTrack's failure to exercise a right cannot be interpreted as a waiver.
